1. Acceptance and Binding Agreement

1.1 Formation of Contract

BY ACCESSING, BROWSING, OR USING THE PAINTA PLATFORM ("SERVICE"), YOU ("YOU," "YOUR," OR "USER") AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS ("TERMS"). IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST NOT ACCESS OR USE THE SERVICE.

These Terms constitute a legally binding contract between you and Painta Inc. ("Painta," "we," "us," or "our"). By creating an account, clicking "I agree," or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

1.3 Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or by posting a notice within the Service at least 30 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

2. Service Description

2.1 Platform Overview

Painta is a Software-as-a-Service (SaaS) platform designed for paint and sip studios. The platform provides tools for online booking, payment processing, calendar management, instructor management, private event coordination, customer relationship management, and check-in and roster management.

2.2 Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us at support@painta.co of any unauthorized use of your account.

3.3 Account Roles

The Service supports multiple user roles including admin (studio owners), instructor, and customer accounts. Each role has specific access permissions. Account holders are responsible for managing access within their organization.

4. Subscription Plans and Pricing

4.1 Plans

We offer the following subscription tiers:

Studio Plan: $19 per month
Pro Plan: $49 per month
Unlimited / Enterprise: Custom pricing — contact us for details

4.2 Per-Ticket Fees

Studio and Pro plans are subject to a Painta platform fee of $1 USD (or ¥100 JPY) per ticket for each booking processed through the platform. Enterprise or Unlimited plan fees are determined by your individual agreement. Stripe processing fees are charged by Stripe to the studio's connected Stripe account under Stripe's terms and are separate from Painta's platform fees.

Studios processing more than 1,500 tickets per month may contact support@painta.co to discuss Enterprise pricing or white-label structures.

4.3 Billing

Subscriptions are billed monthly in advance. All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.4 Price Changes

We may adjust pricing with at least 30 days' prior written notice. Price changes will take effect at the start of your next billing cycle following the notice period.

5. Payment Processing

5.1 Stripe Connect

Payment processing for customer bookings is handled through Stripe Connect Express or, for approved enterprise setups, a studio-owned Stripe account. Studios are the Merchant of Record for customer booking transactions. By using the Service, you agree to the applicable Stripe terms and connected account agreement.

5.2 Studio Responsibility

As Merchant of Record, studios are responsible for customer booking refunds, chargebacks, applicable taxes on their sales, required customer disclosures, and compliance with local payment regulations. Painta provides platform tooling, but Painta is not the seller of studio classes or events.

6. Data and Privacy

6.1 Data Ownership

You retain ownership of all data you input into the Service, including customer data, booking records, and business information. We do not claim ownership of your data.

6.2 Data Processing

We process your data solely to provide and improve the Service. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.3 Data Export

You may request an export of your data at any time by contacting support@painta.co. After account termination, we provide a reasonable export window when technically available. Some records may be retained where required for security, accounting, legal compliance, fraud prevention, dispute handling, or backup integrity.

7. Acceptable Use

7.1 Prohibited Activities

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to the Service or its systems
Interfere with or disrupt the Service's infrastructure
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to transmit malicious code or harmful content
Resell or redistribute the Service without written authorization

7.2 Content Standards

You are responsible for all content you upload or share through the Service. Content must not be illegal, offensive, or infringe on third-party rights.

8. Intellectual Property

8.1 Our IP

The Service, including its design, features, code, and documentation, is owned by Painta Inc. and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

8.2 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a royalty-free, worldwide license to use and incorporate such feedback into the Service.

9. Cancellation and Termination

9.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support@painta.co. Cancellation takes effect at the end of the current billing cycle.

9.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in activities that harm the Service or other users. We will provide reasonable notice except in cases of severe violations.

9.3 Effect of Termination

Upon termination, your access to the Service will cease. We provide a reasonable export window when technically available. Some records may be retained where required for security, accounting, legal compliance, fraud prevention, dispute handling, or backup integrity.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAINTA INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify and hold harmless Painta Inc. and its officers, directors, and employees from any claims, losses, or damages arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court.

13.2 Dispute Resolution

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Painta Inc. regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
